Definizioni

La presente terminologia può comparire nei presenti termini in minuscolo, maiuscolo al singolare o plurale. Il significato di tutte le altre terminologie qui non definite, sarà comunque identificabile dal contesto del periodo, della frase, del paragrafo, all’interno dei presenti Termini, in modo chiaro, oggettivo e non ambiguo.

Definizioni Generali e ambito di applicazione

I presenti Termini del Servizio (“Termini”) costituiscono un contratto giuridicamente vincolante stipulato tra la persona fisica o giuridica identificata dal vostro Account (di seguito “Utente”) e Tingalo, il quale è il gestore dei siti web, delle applicazioni e di altri servizi offerti (collettivamente, la “Piattaforma Tingalo”), disponibili su dominio internet https://tingalo.com/. Quando utilizzati nei presenti Termini, “Tingalo”, “Tingalo!”, “noi”, “ci” o “nostro”, “Piattaforma”, “markeplace” si riferiscono all’entità Tingalo di cui all’Allegato 1, con cui stai stipulando un contratto.

Accettazione dei Termini

Voi dichiarate di accettare i presenti Termini e di considerare vincolanti i punti ivi contenuti (a) facendo clic sull’apposito input di conferma di accettazione del presente accordo, se esiste l’opzione corrispondente o (b) utilizzando il Programma o una qualsiasi delle sue parti. Se non accettate questi Termini, non sarete autorizzati a utilizzare la Piattaforma. Tingalo non ha alcuna responsabilità circa eventuali problematiche emergenti dall’accettazione di questi termini in relazioni ad altri contratti. I Termini descritti in questa pagina sono da intendersi complementari ai termini relativi agli altri servizi di Tingalo disponibili nella apposita sezione.

Modifiche dei Termini

La Piattaforma subirà modifiche, integrazioni e correzioni nel corso del tempo e anche i seguenti Termini dovranno essere aggiornati coerentemente. Ci riserviamo il diritto di effettuare modifiche ai presenti Termini in qualsiasi momento e a nostra discrezione. Condivideremo le modifiche effettuate mediante la pubblicazione dei nuovi termini in sostituzione dei precedenti sul sito https://tingalo.com/, indicando la data di pubblicazione dei nuovi termini, oppure inviando una e-mail all’indirizzo di posta elettronica da voi indicato nell’Account che avete utilizzato per registrarvi al Servizio.

Durata e termine

La validità del presente contratto decorrerà dal momento in cui verrà accettato da voi e proseguirà finché non sarà sciolto da te, Utente o da noi, Tingalo. Ci riserviamo il diritto di sciogliere il presente Contratto e di impedire il vostro accesso alla Piattaforma in qualsiasi momento, se ritenuto opportuno, entro i limiti dei presenti Termini.

Informazioni sull'Account

Dovrai assicurarti che tutte le informazioni fornite (informazioni di contatto, fiscali, legali, data di nascita, eventuale indirizzo di spedizione, etc), siano corrette e accurate e dovrai mantenerle aggiornate per tutto il tempo in cui utilizzerai la Piattaforma.

Book Republic

La Piattaforma Tingalo sviluppa, crea e promuove Book Republic, un programma di incentivo alla lettura e di promozione di prodotti e/o contenuti editoriali. Book Republic viene rilasciato su opportune pagine relative al sito https://tingalo.com/bookrepublic.php e/o https://tingalo.com/
Book Republic offre anche uno spazio digitale che permette agli Utenti professionali (e non) operanti nel settore editoriale di inviare, ricevere, concludere contratti di collaborazione tra Utenti partecipanti al programma, col fine di promuovere prodotti e/o contenuti editoriali.
In relazione alle collaborazioni tra Utenti, gli Utenti che cercano, pubblicano, offrono e vendono servizi di promozione sono “Content Creators” o “Creators” o “creator”, mentre gli Utenti che cercano, prenotano e acquistano servizi di promozione e/o collaborazioni promozionali sono “Editori” o “Compratori” o “Acquirenti”. I Creators producono e divulgano contenuti promozionali. Gli Acquirenti acquistano il servizio di creazione e promozione del contenuto dai Creators. Per ciò che concerne i prodotti editoriali, il programma Book Republic è riservato limitatamente alla categoria dei prodotti fisici editoriali come secondo quanto definito dalla Legge 7 marzo 2001, n. 62, comprendenti esclusivamente prodotti fisici come, ad esempio e senza pretesa di completezza, libri cartacei, videocassette, etc. Possono essere oggetto di collaborazione anche prodotti digitali c.d. e-books. Possono essere oggetto di collaborazione anche contenuti digitali volti alla promozione indiretta (Creators che promuovono contenuti di altri Creators) di prodotti editoriali come sopra descritto, ovvero digitali c.d. e-books, oppure contenuti editoriali video, anche rilasciati in streaming (e.g. film, documentari, serie televisive etc). La promozione indiretta di prodotti editoriali tramite creazione e promozione di contenuti editoriali è ammessa fintanto che viene rispettato il principio di coerenza editoriale, ovvero, in tal senso, il focus di Book Republic è il libro, la lettura, l'intrattenimento, e questo deve essere sempre onorato e rispettato. Usiamo cura e attenzione nella fornitura dei servizi della nostra Piattaforma, ma non possiamo garantire che tutti i contenuti siano esatti (molte informazioni editoriali sono inserite sulla Piattaforma da Utenti, Editori, Creators, Lettori). Nella misura consentita dalla legge, non possiamo essere ritenuti responsabili di errori, interruzioni o parti di informazioni mancanti, sebbene facciamo di tutto per correggerli non appena possibile. La nostra Piattaforma non costituisce un suggerimento o un sostegno verso i servizi del Content Creator o i prodotti dell'Acquirente. Tingalo si riserva il diritto di decidere quali Venditori possono accedere alle rubriche pubbliche presenti nel programma dove è possibile offrire i propri prodotti e/o servizi, senza alcuna giustificazione. I prodotti editoriali oggetto di promozione possono essere anche prodotti non presenti nel marketplace di prodotti editoriali di Tingalo, ovvero prodotti editoriali rivenduti tramite canali terzi, fermo restando che l'Acquirente del servizio di promozione, Editore del prodotto promosso, deve essere iscritto alla piattaforma con un profilo validato e attivato dall'amministratore di servizio.

Per accedere ai servizi della Piattaforma, dovrai creare un Account. Verifica che tutte le informazioni che ti riguardano (inclusi i dati fiscali, di contatto e di pagamento) siano corrette e aggiornate. In caso contrario, potresti non avere accesso alla Piattaforma. Sei responsabile di tutte le operazioni eseguite con il tuo Account; quindi, non lasciare che altri lo utilizzino e tieni segreti il nome Utente e la password. La Piattaforma impiega una terminologia in lingua italiana e alcune parti del sito relative al programma Book Republic sono in lingua inglese. Utilizzando il Servizio confermi di essere in grado di comprendere ogni aspetto, informazione e comunicazione dell’interfaccia della Piattaforma, nonché della Piattaforma. Salvo diversa indicazione, per utilizzare la Piattaforma devi avere almeno 18 anni. In virtù del Diritto allo Studio gli utenti minori possono comunque registrarsi al programma Book Republic durante la fase pre-registrazione, in attesa che si rendano chiari ed esplicitati tramite aggiornamento dei presenti termini quali parti del programma Book Republic potranno essere rese disponibili a utenti minorenni dietro consenso dei genitori. I genitori di Utenti minorenni possono raggiungere l'amministratore di servizio tramite email al info@tingalo.com. Durante la fase di pre-registrazione l'Utente minorenne non potrà accedere a nessuna delle funzionalità anche se in modalità beta testing. La pre-registrazione al programma dell'Utente minorenne permetterà all'Utente minorenne di essere notificato quando il programma Book Republic sarà rilasciato al pubblico, ovvero quando saranno aggiornati i presenti termini in merito alla partecipazione degli Utenti minorenni stessi. Tingalo si riserva il diritto di non attivare l'account degli utenti minorenni qualora ritenuto necessario, senza dover fornire giustificazione alcuna.

La nostra Missione

La nostra missione è promuovere una cultura di qualità, nonché un ecosistema editoriale sostenibile, virtuoso e democratico per ogni singolo partecipante della filiera, sempre.

Categorie di Utenti incluse ed escluse dal Servizio

Sono categoricamente esclusi dai servizi offerti dalla Piattaforma i cosiddetti “Editori a pagamento”, aziende che offrono meri servizi di stampa, pubblicazione, divulgazione, promozione di libri cartacei, aziende che offrono o hanno storicamente offerto anche parzialmente servizi di pubblicazione in cambio di compenso ai propri autori, aziende che offrono o hanno storicamente offerto modelli cosiddetti di “co-edizione”, aziende che impiegano crowdfunding come strumento di finanziamento delle singole opere editoriali, fermo restando che eccezione è fatta per gli imprenditori che impiegano il crowdfunding come mero strumento di finanziamento dell’attività imprenditoriale, e.g. spese di fondazione e start-up di una nuova casa editrice etc, o come strumento di finanziamento (post-pubblicazione) di attività promozionali della singola opera (i.e. del singolo prodotto editoriale).
Il programma Book Republic è aperto ad autori indipendenti, cosiddetti self-publishers, o qualsivoglia autore o gruppo di autori le cui opere non siano state recepite, curate e approvate da imprese editoriali professionali. I self-publishers possono inviare e ricevere proposte di collaborazione ai Creators, dai Creators.
Il programma Book Republic è aperto a lettori. I lettori possono leggere i contenuti, creare, promuovere e amministrare gruppi di lettura all'interno della piattaforma Tingalo. L’amministratore del Servizio Tingalo, con la consulenza dei propri collaboratori esperti, seleziona a propria discrezione gli Utenti che accedono alla Piattaforma. Tingalo si riserva la possibilità di effettuare questionari agli Utenti diretti interessati al fine di assicurare che gli standard del Servizio siano rispettati. In caso di esito negativo, l’Utente può effettuare una richiesta di moderazione paritaria scrivendo a info@tingalo.com. Tingalo si riserverà il diritto di procedere alla moderazione (o meno) la quale verrà espletata da parte dei membri stessi dell’ecosistema in forma anonima, e comunque secondo le modalità proposte da Tingalo.

Prodotti e contenuti editoriali

Editori e Creators si accordano per promuovere prodotti e contenuti editoriali tramite l’ausilio della Piattaforma Tingalo. Il prodotto editoriale fisico è definito secondo le norme di legge (Legge 7 marzo 2001, n. 62). Il singolo prodotto editoriale è identificabile tramite il codice univoco ad esso associato (e.g. ISBN, etc). Tingalo, in qualità di gestore della Piattaforma Tingalo rilasciata su https://tingalo.com/ non possiede e non ha alcuna responsabilità sui prodotti stessi, sul loro contenuto e sui loro effetti rispetto agli intermediari e/o Rivenditori, nonché rispetto ai consumatori finali e fruitori. Se ritieni che un dato prodotto o contenuto editoriale possa anche solo potenzialmente danneggiare o diffamare te o qualsivoglia terza persona e/o violare la legge sui diritti d’autore, o di tutela del diritto al nome o qualsiasi ulteriore legge dovrai avvertire tempestivamente le autorità locali e l’amministrazione Tingalo perché il problema venga risolto nel minor tempo possibile. In questo caso, potrai contattare Tingalo scrivendo un messaggio di posta elettronica, chiaro e ben circostanziato a: info@tingalo.com

Dati, Metadati e Informazioni editoriali

Salvo diversamente specificato, tutti i dati e metadati forniti a Tingalo rimarranno a disposizione di Tingalo, in via non esclusiva. Le informazioni editoriali sono gestite in conformità con quanto stabilito dalle privacy policy previste dal Servizio e consultabili alla pagina dedicata. Effettuando l’upload di un prodotto editoriale, il Produttore conferisce a Tingalo il diritto di mostrare, commerciare, trasmettere, distribuire, vendere, concedere in licenza e rendere altrimenti disponibili in qualsiasi altro modo i prodotti editoriali e le informazioni relative ai prodotti editoriali in tutto o in parte tramite la Piattaforma. Fatte salve le autorizzazioni che ci concedete tramite i presenti Termini, tu, Editore, mantieni tutti i diritti di proprietà, i diritti d’autore e ogni altro diritto e interesse relativamente ai tuoi prodotti editoriali. Noi siamo titolari di tutti i diritti d’autore e di tutti gli altri diritti e interessi relativi alla Piattaforma e ai suoi servizi, alle proprietà di Tingalo e a qualsiasi materiale che utilizziamo o forniamo per l’uso riguardo al prodotto editoriale (per esempio una generica immagine di copertina per il prodotto editoriale se non ne avete presentata una). Deteniamo la proprietà e il controllo esclusivi di tutti i dati che ci vengono forniti dai Rivenditori e, più in generale dai fruitori della Piattaforma (e.g. statistiche, metriche, valori quantitativi e qualitativi registrati). Noi siamo gli unici responsabili e godiamo del massimo potere discrezionale per quanto concerne i termini, le funzioni e le operazioni della Piattaforma, del marketing ad essi collegato; tuttavia, il nostro utilizzo dei prodotti editoriali sarà soggetto ai presenti Termini. Qualora decidiate di fornire suggerimenti, idee o altri feedback a Tingalo o a una qualsiasi delle sue affiliate, Tingalo e le sue affiliate saranno libere di utilizzare e sfruttare tali suggerimenti, idee o feedback in qualsivoglia modo, senza limitazioni e senza la necessità di darvi un compenso. Il presente Accordo non vi garantisce alcuna licenza o altro diritto su qualsiasi proprietà intellettuale o tecnologia posseduta o gestita da noi o da una delle nostre affiliate, ivi compresi, senza alcuna limitazione, tutti i marchi e i nomi commerciali. Niente di quanto contenuto nel presente contratto può limitare i diritti detenuti da noi ai sensi della legge applicabile o di un’autorizzazione separata.

Riservatezza

Gli Utenti non potranno rilasciare alcun comunicato stampa o qualsiasi altra dichiarazione pubblica o impiegare la Piattaforma, i suoi contenuti, i suoi dati, o il presente contratto per scopi al di fuori del presente contratto. Tuttavia, avete facoltà di divulgare le informazioni riservate di Tingalo laddove ciò sia richiesto dalla legge applicabile, a condizione che venga fornita comunicazione preventiva per iscritto con un anticipo sufficiente a consentirci di cercare di ottenere un provvedimento di protezione contro la divulgazione delle informazioni riservate di Tingalo.

Politica sui Diritti d’autore

Tingalo rispetta i diritti di proprietà intellettuale degli Utenti e si aspetta che gli Utenti facciano lo stesso. Tingalo a propria totale discrezione può decidere di sospendere e/o disattivare l’Account o i privilegi di accesso degli Utenti che violano ripetutamente, o che sono ripetutamente accusati di violare, il copyright o altri diritti di proprietà intellettuale di un terzo Utente o di un qualsivoglia terzo soggetto esterno alla Piattaforma. Nell’eventualità l’Utente fosse proprietario di un copyright o fosse autorizzato ad agire per conto di un titolare terzo, egli è tenuto a segnalare ogni presunta violazione del copyright avvenuta sul Sito, ovvero scrivendo a info@tingalo.com segnalando in modo preciso la presunta circostanza di violazione, tramite formale notifica, ovvero fornendo tutte le informazioni delle Opere oggetto di violazione (URL del link, etc), il proprio recapito postale e telefonico, nome, cognome e ragione sociale. L’Utente che effettua la segnalazione dovrà inserire nel corpo del messaggio la seguente dicitura:

"Con la presente, il sottoscritto dichiara di ritenere, in buona fede, che l’utilizzo contestato del materiale protetto da copyright non sia autorizzato dal relativo titolare, dal suo agente o dalla legge (ad es. come uso adeguato)." "Il sottoscritto dichiara che le informazioni di cui alla presente Notifica sono accurate e, consapevole delle responsabilità civili e penali previste in caso di dichiarazioni mendaci, dichiara di essere il titolare o la persona autorizzata ad agire per conto del titolare del copyright o di un diritto esclusivo ai sensi del copyright oggetto della presunta violazione."

Alla ricezione della notifica come descritto di seguito, Tingalo intraprenderà qualsiasi contromisura opportuna, a propria esclusiva discrezione, ivi inclusa la rimozione del materiale oggetto di contestazione.

Approvazione prodotti editoriali

Ciascun prodotto editoriale è approvato da Tingalo e a sola discrezione di Tingalo. Tingalo si riserva la possibilità di non approvare determinati prodotti editoriali se questi riportano almeno una di queste caratteristiche:

1. Contenuti offensivi, violenti, pornografici, pedopornografici, softcore porn;

2. Contenuti che istigano o potrebbero istigare all’odio, ad atti di razzismo, xenofobia, persecuzione, etnocentrismo, violenza, offensivi per la persona, per la religione di qualsivoglia individuo, immorali, estremisti, terroristici;

3. Contenuti riportanti istruzioni per costruzione, acquisto, reperimento di armi, esplosivi, ordigni e/o per l’implementazione di strategie militari, belliche, azioni terroristiche, assalti, attacchi ai governi, attacchi informatici, biologici, nucleari e di qualsivoglia rischiosa e compromettente natura;

4. Contenuti fuorvianti, fakenews, contenuti dai quali si evince un serio ed esplicito tentativo di conferire autorità scientifica a fenomeni e circostanze non scientificamente riconosciute e.g. tentativi di affermazione di teorie complottistiche, etc - fermo restando il diritto di esprimere la propria opinione;

5. Qualsivoglia contenuto ritenuto, a esclusiva discrezione di Tingalo, non in linea con le esigenze culturali dei fruitori, con le esigenze di mercato, o ritenuto a insindacabile discrezione di Tingalo come non rilevante per l’ecosistema;

6. Contenuti che violano i presenti Termini;

Tingalo si riserva la possibilità di comunicare e riportare alle autorità competenti ogni tentativo di pubblicazione e distribuzione di contenuti sopradescritti qualora ritenuto opportuno e a propria totale discrezione.

Fuori catalogo

Il Produttore può in qualsiasi momento conferire a un dato prodotto editoriale lo stato di “fuori catalogo” cambiando opportunamente lo stato del proprio stock. I prodotti fisici eventualmente ancora in circolazione nell’ecosistema al momento del cambiamento dello stato saranno ancora disponibili fino a esaurimento scorte da parte dei magazzini affiliati a Tingalo, sempre e comunque, fintanto che ritenuto opportuno da Tingalo.

Prodotti usati

Non è possibile pubblicare, offrire, acquistare e rivendere prodotti usati sulla Piattaforma Tingalo. Tutti i prodotti distribuiti tramite Tingalo devono essere nuovi.

Condotta Utenti

Rivenditori e Produttori dovranno impiegare un linguaggio non offensivo, non denigrante e socialmente adeguato gli uni verso gli altri. Gli Utenti dovranno operare agevolandosi a vicenda e operando sempre al fine di preservare la missione proposta dalla Piattaforma. Rivenditori e Produttori si impegnano a garantire e mantenere una comunità e un network commercialmente democratico, inclusivo, e che porti beneficio economico a tutti i partecipanti all’ecosistema, al di là della dimensione e della dimensione economico-finanziaria dell’attività commerciale dell’Utente. Allo stesso tempo, ogni Utente rispetta e non compromette tramite il proprio operato ogni tentativo o iniziativa imprenditoriale, di espansione, di miglioramento dell’attività commerciale di qualsivoglia terzo Utente. Ogni tentativo di trust, complotto, unione, raggiro, pilotaggio, manipolazione che possa anche solo minimamente o potenzialmente pregiudicare la nostra missione o il sereno, corretto e democratico svolgimento dell’attività di un qualsivoglia Utente appartenente all’ecosistema, comporterà l’esclusione definitiva dal Servizio. Tingalo si riserverà di procedere legalmente contro l’Utente qualora ritenuto opportuno.

Pagamenti

Salvo aggiornamento dei presenti termini, il Programma Book Republic di Tingalo è progettato esclusivamente per facilitare le compravendite commerciali tra gli attori della filiera editoriale, limitatamente alle attività di operatori fiscalmente stabiliti sul territorio dello Spazio Economico Europeo, per operazioni commerciali espletate all’interno del solo Spazio Economico Europeo. Eccezione è fatta per i partner extra Europei con cui Tingalo conclude accordi. A tal fine, Tingalo non effettua alcuna vendita in modo diretto. Tingalo non detiene e non gestisce fondi di denaro. I fondi dovuti dall’Acquirente (colui che acquista sul marketplace Tingalo) al Venditore (colui che vende sul marketplace Tingalo) non vengono mai detenuti da Tingalo. Tali fondi vengono invece depositati sul conto bancario regolamentato da Stripe a favore del Venditore prima di essere versati al Venditore stesso da Stripe. I servizi di pagamento regolamentati sono erogati da Stripe.

Termini STRIPE

Registrando il tuo Account su Tingalo, creeremo conseguentemente un “Account collegato” presso l’intermediario finanziario STRIPE al quale si affida la Piattaforma. Registrando il tuo Account su Tingalo, accetti i termini di Servizio di Stripe per il tuo Account collegato (connected Account) relativi al Servizio Stripe Connect, ovvero accetti il Contratto dell’Account collegato con Stripe. Registrando il tuo Account su Tingalo, accetterai dunque i termini previsti dalle Privacy Policy previste dall’intermediario finanziario Stripe, disponibili al sito: https://stripe.com/en-it/privacy

Invio denaro: tempistiche e condizioni

Normalmente, i pagamenti al tuo conto sono presi in carico giornalmente da Stripe. In base alla tua banca e alle circostanze, sono necessari dai 7 ai 10 giorni lavorativi per ricevere il pagamento da Stripe al conto da te indicato. Nel caso di necessità di compensazione finanziaria per pratiche di rimborso, previo accordo esplicito tra te e Tingalo, è possibile che il tuo pagamento venga preso in carico con tempi differenti, verosimilmente più lunghi, ma mai oltre i termini previsti dalla legge, dalla data di ricezione del denaro da parte dei tuoi clienti.

Attivazione e verifica degli Utenti (onboarding)

In ottemperanza agli obblighi di legge dettati dalle più ampie direttive europee antiriciclaggio (racchiuse sotto l’acronimo di AMLD, Anti Money Laundry Directives), il cui ultimo aggiornamento è stato recepito in Italia con il decreto legislativo 90/2017, Tingalo recepisce sotto la propria responsabilità tutta la documentazione necessaria per l’adeguata verifica dell’Utente (Know Your Customer - KYC) la quale rimane in condivisione con l’intermediario finanziario della Piattaforma (Stripe), secondo i criteri stabiliti dalle privacy policy di questo contratto e dalle privacy policy di Stripe, nonché dai termini di Servizio previsti da questo contratto, e dai termini di Servizio previsti da Stripe. Gli Utenti dovranno necessariamente fornire un documento di identità in corso di validità, la visura camerale della propria attività o un estratto conto bancario e/o altro opportuno documento dietro richiesta di Tingalo in caso di Utenti privati, secondo quanto previsto dalla procedura di onboarding. Tingalo si riserva la possibilità di richiedere ulteriore documentazione per l’adeguata verifica del cliente, così come Tingalo si riserva la possibilità di non procedere all’attivazione dell’Account qualora ritenuto opportuno e a propria discrezione, senza dover fornire giustificazione alcuna.

Imposte e comunicazioni all’Agenzia delle Entrate

Tingalo valuterà caso per caso la circostanza fiscale degli Utenti, potrà richiedere quindi documentazioni atte a confermare la circostanza fiscale degli Utenti al fine unico di garantire un corretto espletamento dei ruoli fiscali, fermo restando che in linea di principio l’Utente è l’unico responsabile del pagamento delle proprie imposte dovute, sempre. Tingalo comunica i dati di vendita degli utenti come previsto dalla legge in materia all'Agenzia delle Entrate e/o alle opportune Agenzie fiscali territoriali, entro le opportune scadenze.

Costi di Servizio

I costi di Servizio della Piattaforma sono stabiliti da Tingalo e opportunamente pubblicati nella apposita sezione del sito: https://tingalo.com/bookrepublic.php I costi di Servizio possono subire variazioni.

Responsabilità

LA PIATTAFORMA È FORNITA “COSÌ COM’È”. TINGALO NON POTRÀ IN ALCUN CASO ESSERE RITENUTA RESPONSABILE PER QUALSIASI PERDITA DI DATI O DI PROFITTI, COSTI DI COPERTURA O QUALSIASI ALTRO DANNO SPECIALE, INCIDENTALE, CONSEQUENZIALE, INDIRETTO, O DA AFFIDAMENTO DERIVANTE DA O RELATIVO AL PRESENTE CONTRATTO. LA PIATTAFORMA TINGALO SI BASA SU SISTEMI E PROCESSI COMPLESSI. FACCIAMO TUTTO IL POSSIBILE PER MANTENERE I NOSTRI SISTEMI E PROCESSI EFFICIENTI E PRIVI DI ERRORI; TUTTAVIA, NON POSSIAMO GARANTIRNE LA PERFETTA EFFICIENZA E CORRETTEZZA E DECLINIAMO QUALSIASI RESPONSABILITÀ RELATIVA A GUASTI DEL SISTEMA O INTERRUZIONI DEI PROCESSI, INACCURATEZZE, ERRORI O DIFETTI TECNICI, DELLA NOSTRA INFRASTRUTTURA INFORMATICA, COMPRESI I DATABASE E I SERVER E I SERVIZI TERZI SUI QUALI SI APPOGGIA TINGALO. IN CASO LA PIATTAFORMA DOVESSE ESSERE VITTIMA DI ATTACCO INFORMATICO MALEVOLO, HACKERAGGIO, TENTATIVO DI TRUFFA, FRODE, RAGGIRO ETC CON CONSEGUENTI DANNI E/O PERDITA DI INFORMAZIONI E/O PERDITA ECONOMICA E/O PERDITA DI OPPORTUNITÀ ECONOMICA O COMMERCIALE PER GLI UTENTI UTILIZZANTI LA PIATTAFORMA, TINGALO È MANLEVATA DA QUALSIVOGLIA RESPONSABILITÀ E L'UTENTE NON POTRÀ PRETENDERE ALCUN TIPO DI RISARCIMENTO A TINGALO. LA STESSA CONDIZIONE VALE NELLA CIRCOSTANZA IN CUI L'EVENTUALE DANNO ALL'UTENTE DERIVI DA UNA AZIONE MALEVOLA INDIRETTA RISPETTO A TINGALO, OVVERO TRAMITE LA COMPROMISSIONE E/O MANOMISSIONE MALEVOLA DEI SERVIZI TERZI SUI QUALI SI APPOGGIA TINGALO E CON CUI LA PIATTAFORMA TINGALO È INTEGRATA (E.G. STRIPE.COM). IN QUESTE EVENTUALITÀ TINGALO INTERVIENE IMMEDIATAMENTE - NEL LIMITE DELLE PROPRIE CAPACITÀ OPERATIVE - METTENDO IN ATTO MISURE DI CONTENIMENTO E RIPARO DELLA PROPRIA PIATTAFORMA E DEGLI UTENTI, TRA CUI SOSPENSIONE DEL SERVIZIO, BLOCCO DEGLI ACCOUNT ETC.

Forza Maggiore

Tingalo non potrà essere ritenuta responsabile per qualsiasi mancanza o ritardo nell’adempimento dei suoi obblighi, ai sensi del presente contratto, causato da qualsivoglia evento o circostanza al di fuori del suo controllo, inclusi, a titolo esemplificativo e senza pretesa di completezza: attacchi informatici “denial-of-service”, insurrezioni, incendi, inondazioni, tempeste, esplosioni, eventi imprevedibili, guerre, attacchi terroristici, epidemie, pandemie, etc.

Frode, copie pirata e truffa

Tingalo monitora costantemente l’andamento delle transazioni e il flusso dei beni all’interno del proprio ecosistema. In caso di rilevamento di possibili o anche solo potenziali tentativi di frode nei confronti di Tingalo o di terze parti, di impiego di copie pirata, di copie non autorizzate, di tentativi di truffa, raggiro, impedimento, camuffamento di qualsivoglia natura, Tingalo procederà immediatamente a bloccare l’erogazione dei servizi Tingalo e contattare le Autorità competenti. L’Utente bloccato non potrà mai richiedere un risarcimento a Tingalo per l’avvenuto blocco.

Per qualsiasi reclamo, l’Utente può indirizzare una richiesta in forma scritta a: info@tingalo.com

Metriche e strumenti

Tingalo mette a disposizione metriche e strumenti pensati per agevolare la comprensione del marcato, del prodotto e dell’attività commerciale del singolo Utente all’interno dell’ecosistema. Le informazioni qualitative e quantitative, anche quando presentate in forma aggregata, sono confidenziali e non potranno mai essere divulgate senza consenso esplicito di Tingalo. Tingalo si impegna a garantire la qualità di tali metriche; tuttavia, non possiamo garantire la consistenza e l’accuratezza di tali metriche in alcun modo. L’Utente comprende e accetta di buon grado la possibilità seppur remota che tali metriche non rispecchino la realtà operativa dell’ecosistema in alcune circostanze, manlevando Tingalo da qualsivoglia danno e/o incomprensione di qualsivoglia natura derivante da una erronea interpretazione e/o valore quantitativo e/o qualitativo generato dal sistema e riportato tramite le metriche proposte.

Assistenza Tingalo

Tutti gli utenti possono richiedere assistenza gratuita a Tingalo impiegando l’apposita sezione. Gli utenti vengono ricontattati laddove opportuno entro 24 ore, o comunque nel più breve tempo possibile dall’Assistenza Tingalo. Tingalo si riserva di non rispondere a richieste ritenute a propria discrezione non adeguate e/o inopportune e/o non ben descritte e contestualizzate.

Disponibilità Servizio

Salvo eccezioni, (e.g. manutenzione ordinaria), il Servizio è generalmente disponibile dalle ore 1.20 alle 00.45, sette giorni su sette. L’Utente manleva Tingalo da qualsivoglia danno generato dalla non disponibilità del Servizio, rinunciando a qualsivoglia richiesta di risarcimento.

Indisponibilità di Servizio

Il Servizio Tingalo può essere ulteriormente non disponibile oltre agli orari indicati nel precedente punto, per periodi di tempo non ben precisabili per motivi di manutenzione ordinaria e/o straordinaria o fasi critiche quali “down di servizio” generate dall’indisponibilità dei servizi dei server o temporanei disservizi del servizio Tingalo stesso. L’Utente comprende tale possibilità e manleva sempre Tingalo da ogni responsabilità relativa al disservizio causato direttamente e/o indirettamente.

Lingua

La Piattaforma di Tingalo impiega un modello linguistico ibrido in cui gli strumenti di navigazione (bottoni, schede, menù, alcuni avvisi, etc) sono tutti prevalentemente in lingua italiana. Può anche essere impiegata terminologia in inglese. Accettando i termini di Servizio confermi di essere in grado di comprendere le descrizioni e le comunicazioni fornite da e tramite la Piattaforma, manlevando Tingalo da qualsivoglia malinteso derivante da una non corretta interpretazione dei contenuti forniti.

Risoluzione

Il presente contratto tra te e Tingalo di cui ai presenti Termini rimane in vigore fino alla sua risoluzione da parte tua o di Tingalo in conformità ai presenti Termini. Puoi risolvere il presente accordo in qualsiasi momento inviandoci un’e-mail o eliminando il tuo account. Tingalo può risolvere il presente contratto per qualsiasi motivo con un preavviso di 30 giorni via e-mail o tramite le altre informazioni di contatto che hai fornito per il tuo account. Tingalo può altresì risolvere il presente accordo immediatamente e senza preavviso e interrompere l'accesso alla Piattaforma Tingalo se (i) violi in modo sostanziale i presenti Termini (ii) violi le leggi applicabili o (iii) tale azione è necessaria per proteggere l'integrità personale o la proprietà di Tingalo, della sua missione, dei suoi Utenti o di terze parti (ad esempio in caso di comportamento fraudolento di un Utente) o (iv) il tuo account è inattivo da più di 2 anni. Se (i) violi i presenti Termini, le nostre Privacy Policy, i nostri standard (ii) infrangi leggi, regolamenti o diritti di terze parti applicabili, (iii) hai ricevuto ripetutamente recensioni e/o feedback scadenti o Tingalo altrimenti viene a conoscenza o riceve reclami sulla tua prestazione o condotta, (vi) non hai evaso ripetutamente ordini secondo gli standard, (vii) tale azione è necessaria per proteggere la sicurezza personale o la proprietà di Tingalo, dei suoi Untenti o di terze parti, Tingalo può: Sospendere o limitare il tuo accesso o utilizzo della Piattaforma Tingalo e/o del tuo Account. Sospendere o rimuovere Offerte, Prodotti o altri Contenuti. Cancellare Ordini, Prodotti e Offerte in sospeso o confermate. Sospendere o revocare qualsiasi stato speciale associato al tuo account. In caso di violazioni non sostanziali o laddove altrimenti opportuno, Tingalo ti comunicherà qualsiasi misura che intende adottare e ti darà l'opportunità di risolvere il problema, a meno che tale notifica (i) impedisca o ostacoli l’accertamento o la prevenzione di frodi o altre attività illecite, (ii) danneggi i legittimi interessi di altri Utenti o di terzi o (iii) violi le leggi applicabili. A seguito della risoluzione del presente contratto, non avrai diritto al ripristino del tuo Account o dei suoi Contenuti. Qualora l'accesso o l'utilizzo della Piattaforma Tingalo da parte tua sia stato limitato, o se il tuo Account Tingalo è stato sospeso o il presente accordo risolto su nostra iniziativa, non potrai registrare un nuovo account Tingalo né accedere a e utilizzare la Piattaforma Tingalo attraverso un account Tingalo di un altro Utente o sotto altro nome/e-mail. Entro i limiti del presente accordo, in caso di risoluzione, Tingalo non dovrà alcun rimborso e/o risarcimento all’Utente, mai.

Cessione

Non puoi cedere, trasferire o delegare il presente accordo o i tuoi diritti e obblighi qui previsti senza il previo consenso scritto di Tingalo. Tingalo si riserva il diritto, a propria esclusiva discrezione, senza limitazioni, di cedere, trasferire o delegare il presente accordo e qualsiasi suo diritto e obbligo qui previsto dandone preavviso di 30 giorni. Il tuo diritto di risolvere il presente accordo in qualsiasi momento rimane inalterato.

Servizi di terzi

La Piattaforma Tingalo può contenere link a siti web, applicazioni, servizi o risorse di terze parti ("Servizi di terzi") che sono soggetti a diversi termini e pratiche sulla privacy. Tingalo non è responsabile per alcun aspetto di tali Servizi di terzi e i link a tali Servizi di terzi non costituiscono una sponsorizzazione.

Beta testing

Gli Utenti accettano e manlevano Tingalo da qualsiasi responsabilità per eccezionali problematiche, eccezionali danni, o eccezionali malintesi che potrebbe eventualmente emergere dall’utilizzo del Servizio, durante la fase di beta testing.

Programma Affiliate

Affiliate Marketing di Tingalo si riferisce al sottoprogramma di Book Republic che da la possibilità agli Utenti partecipanti di creare dei link (url) personalizzati i quali possono essere condivisi ai fini promozionali (affiliazione). Il sottoprogramma di Affiliate Marketing appartenente al programma Book Republic è da intendersi come mezzo di incentivo e promozione alla lettura tramite la creazione di un ecosistema economico adeguato che supporti i Lettori, gli Editori e tutti i partecipanti della filiera, sempre. Il sotto programma di Affiliate Marketing di Tingalo è attualmente in fase di sviluppo e gli Utenti saranno notificati prima del rilascio e della pubblicazione del programma stesso. Gli Utenti saranno quindi notificati circa l'aggiornamento dei presenti termini in virtù della pubblicazione del programma di Affiliate Marketing, mediate opportuni mezzi e opportune tempistiche.

Legge applicabile e foro competente

Ogni controversia relativa all’applicazione a all’interpretazione del presente contratto sarà di esclusiva competenza del Foro del Tribunale di Cosenza. Per tutto quanto non previsto nel presente contratto, si intendono qui riportate le norme vigenti in materia.

Premise

Definitions

The present terminology may appear in these terms in lowercase, uppercase in singular or plural. The meaning of all other terminologies not defined here will be identifiable from the context of the period, sentence, paragraph within these Terms, in a clear, objective, and unambiguous manner.

General Definitions and Scope of Application

"Tingalo!" or "Tingalo" is a service provided by Tingalo Services S.R.L., VAT number 03893580781, with its registered office at Via Torquato Tasso n. 8, 87036 - Rende (CS), Italy, hereinafter recognized and identified as "Tingalo" or "Tingalo!".

These Terms of Service ("Terms") constitute a legally binding contract entered into between the natural or legal person identified by your Account (hereinafter "User") and Tingalo, the operator of the websites, applications, and other services offered (collectively, the "Tingalo Platform"), available on the internet domain https://tingalo.com/. When used in these Terms, "Tingalo," "Tingalo!," "we," "us," "our," "Platform," and "marketplace" refer to the entity Tingalo as per Annex 1, with which you are entering into a contract.

Acceptance of Terms

You declare to accept these Terms and consider the points therein binding by (a) clicking on the appropriate acceptance confirmation input if the corresponding option exists or (b) using the Program or any of its parts. If you do not accept these Terms, you are not authorized to use the Platform. Tingalo has no responsibility for any issues arising from the acceptance of these terms in relation to other contracts. The terms described on this page are complementary to the terms of other Tingalo services available in the respective section.

Changes to the Terms

The Platform will undergo changes, additions, and corrections over time, and the following Terms must be updated accordingly. We reserve the right to make changes to these Terms at any time and at our discretion. We will share the changes by publishing the new terms in place of the previous ones on the site https://tingalo.com/, indicating the date of publication of the new terms, or by sending an email to the email address you provided in the Account you used to register for the Service.

Duration and Termination

The validity of this contract will begin when accepted by you and will continue until terminated by you, the User, or by us, Tingalo. We reserve the right to terminate this Contract and prevent your access to the Platform at any time if deemed appropriate, within the limits of these Terms.

Account Information

You must ensure that all provided information (contact, tax, legal, date of birth, any shipping address, etc.) is correct and accurate, and you must keep it updated for the entire time you use the Platform.

Book Republic

The Tingalo Platform develops, creates, and promotes Book Republic, a reading incentive program and promotion of editorial products and/or content. Book Republic is released on dedicated pages on the website https://tingalo.com/bookrepublic.php and/or https://tingalo.com/.
Book Republic also provides a digital space that allows professional (and non-professional) Users operating in the publishing sector to send, receive, and conclude collaboration contracts among Users participating in the program, with the aim of promoting editorial products and/or content.
In relation to collaborations between Users, Users seeking, publishing, offering, and selling promotion services are "Content Creators" or "Creators," while Users seeking, booking, and purchasing promotion services and/or promotional collaborations are "Publishers" or "Buyers." Creators produce and promote promotional content. Buyers purchase the content creation and promotion service from Creators. For editorial products, the Book Republic program is limited to the category of physical editorial products as defined by Law 7 March 2001, n. 62, including exclusively physical products such as, for example and without claiming completeness, paper books, videocassettes, etc. Digital products, so-called e-books, can also be subject to collaboration. Collaboration can also involve digital content aimed at indirect promotion (Creators promoting the content of other Creators) of editorial products as described above, i.e., digital e-books, or video editorial content, also released in streaming (e.g., films, documentaries, TV series, etc). The indirect promotion of editorial products through the creation and promotion of editorial content is allowed as long as the principle of editorial coherence is respected. In this sense, the focus of Book Republic is on books, reading, entertainment, and this must always be honored and respected. We take care and attention in providing services on our Platform, but we cannot guarantee that all content is accurate (many editorial pieces of information are entered on the Platform by Users, Publishers, Creators, Readers). To the extent permitted by law, we cannot be held responsible for errors, interruptions, or missing information, although we do our best to correct them as soon as possible. Our Platform does not constitute a recommendation or endorsement of the services of the Content Creator or the products of the Buyer. Tingalo reserves the right to decide which Sellers can access the public sections present in the program where they can offer their products and/or services, without any justification. The promotional editorial products may also be products not present in the Tingalo editorial products marketplace, or editorial products resold through third-party channels, provided that the service-promoting Buyer, the Publisher of the promoted product, must be registered on the platform with a profile validated and activated by the service administrator.

To access the services of the Platform, you will need to create an Account. Ensure that all information about you (including tax, contact, and payment data) is correct and up-to-date. Otherwise, you may not have access to the Platform. You are responsible for all operations performed with your Account; therefore, do not let others use it and keep the Username and password secret. The Platform uses terminology in the Italian language, and some parts of the site related to the Book Republic program are in English. By using the Service, you confirm that you can understand every aspect, information, and communication of the Platform interface as well as the Platform itself. Unless otherwise indicated, to use the Platform, you must be at least 18 years old. In accordance with the Right to Study, minor users can still register for the Book Republic program during the pre-registration phase, pending clarification and explicitness through an update of these terms as to which parts of the Book Republic program may be made available to underage users with the consent of parents. Parents of underage users can reach the service administrator via email at info@tingalo.com. During the pre-registration phase, the underage user will not be able to access any of the features, even if in beta testing mode. The pre-registration of the underage user for the Book Republic program will notify the underage user when the program is released to the public, or when these terms are updated regarding the participation of underage users. Tingalo reserves the right not to activate the accounts of underage users if deemed necessary, without having to provide any justification.

Our Mission

Our mission is to promote a culture of quality, as well as a sustainable, virtuous, and democratic editorial ecosystem for every participant in the industry, always.

Categories of Users Included and Excluded from the Service

Categorically excluded from the services offered by the Platform are the so-called "Pay-to-Publish Publishers," companies that offer mere printing, publication, dissemination, and promotion services for physical books, companies that offer or have historically offered partially publication services in exchange for compensation to their authors, companies that offer or have historically offered so-called "co-publishing" models, companies that employ crowdfunding as a financing tool for individual editorial works, with the exception of entrepreneurs using crowdfunding as a mere tool to fund entrepreneurial activities, e.g., foundation and start-up expenses for a new publishing house, etc., or as a financing tool (post-publication) for promotional activities of the individual work (i.e., the individual editorial product).
The Book Republic program is open to independent authors, so-called self-publishers, or any author or group of authors whose works have not been received, curated, and approved by professional publishing companies. Self-publishers can send and receive collaboration proposals to/from Creators.
The Book Republic program is open to readers. Readers can read content, create, promote, and manage reading groups within the Tingalo platform. The administrator of the Tingalo Service, with the advice of its expert collaborators, selects at its discretion the Users who access the Platform. Tingalo reserves the right to conduct questionnaires with the Users directly involved to ensure that the Service standards are met. In case of a negative outcome, the User can request peer moderation by writing to info@tingalo.com. Tingalo reserves the right to proceed with moderation (or not), which will be carried out by the members of the ecosystem themselves anonymously, and in any case according to the modalities proposed by Tingalo.

Products and Editorial Content

Publishers and Creators agree to promote products and editorial content through the use of the Tingalo Platform. The physical editorial product is defined according to legal norms (Law 7 March 2001, n. 62). The individual editorial product is identifiable through the unique code associated with it (e.g., ISBN, etc.). Tingalo, as the manager of the Tingalo Platform released on https://tingalo.com/, does not own and has no responsibility for the products themselves, their content, and their effects on intermediaries and/or Retailers, as well as on end consumers and users. If you believe that a particular product or editorial content may potentially harm or defame you or any third person and/or violate copyright law, or the right to name or any other law, you must promptly notify local authorities and the Tingalo administration for the issue to be resolved as quickly as possible. In this case, you can contact Tingalo by writing a clear and well-documented email to: info@tingalo.com.

Data, Metadata, and Editorial Information

Unless otherwise specified, all data and metadata provided to Tingalo will remain at the disposal of Tingalo, in a non-exclusive manner. Editorial information is managed in accordance with the privacy policies provided by the Service and can be consulted on the dedicated page. By uploading an editorial product, the Producer grants Tingalo the right to display, trade, transmit, distribute, sell, license, and otherwise make available in any other way the editorial products and information related to editorial products in whole or in part through the Platform. Subject to the permissions granted to us through these Terms, you, as the Publisher, retain all property rights, copyrights, and any other rights and interests in relation to your editorial products. We own all copyrights and all other rights and interests in the Platform and its services, Tingalo's properties, and any material we use or provide for use regarding the editorial product (e.g., a generic cover image for the editorial product if you haven't provided one). We hold exclusive ownership and control of all data provided to us by Retailers and, more generally, by users of the Platform (e.g., statistics, metrics, recorded quantitative and qualitative values). We are solely responsible and have the maximum discretionary power regarding the terms, functions, and operations of the Platform, the marketing associated with them; however, our use of editorial products will be subject to these Terms. If you choose to provide suggestions, ideas, or other feedback to Tingalo or any of its affiliates, Tingalo and its affiliates are free to use and exploit such suggestions, ideas, or feedback in any way, without limitations and without the need to compensate you. This Agreement does not grant you any license or other rights to any intellectual property or technology owned or operated by us or any of our affiliates, including, without limitation, all trademarks and trade names. Nothing in this Agreement can limit the rights held by us under applicable law or a separate authorization.

Confidentiality

Users may not release any press release or any other public statement or use the Platform, its content, its data, or this contract for purposes outside of this contract. However, you have the right to disclose Tingalo's confidential information where required by applicable law, provided that prior written notice is given with sufficient advance notice to allow us to try to obtain a protective order against the disclosure of Tingalo's confidential information.

Copyright Policy

Tingalo respects the intellectual property rights of Users and expects Users to do the same. Tingalo, at its sole discretion, may decide to suspend and/or deactivate the Account or access privileges of Users who repeatedly violate, or are repeatedly accused of violating, copyright or other intellectual property rights of a third User or any third party external to the Platform. In the event the User owns a copyright or is authorized to act on behalf of a third-party owner, the User is required to report any alleged copyright infringement that occurred on the Site, either by writing to info@tingalo.com, precisely reporting the alleged infringement, through formal notification, or by providing all information about the Works subject to infringement (URL link, etc.), their postal and telephone contact, name, surname, and business name. The User making the report must include the following statement in the body of the message: "By this, the undersigned declares to believe, in good faith, that the disputed use of copyrighted material is not authorized by the respective owner, its agent, or the law (e.g., as fair use). The undersigned declares that the information in this Notice is accurate and, aware of the civil and criminal responsibilities provided for in case of false statements, declares to be the owner or person authorized to act on behalf of the copyright owner or of an exclusive right under copyright that is the subject of the alleged violation." Upon receipt of the notice as described below, Tingalo will take any appropriate countermeasures, at its sole discretion, including the removal of the contested material.

Approval of Editorial Products

Each editorial product is approved by Tingalo at its sole discretion. Tingalo reserves the right not to approve certain editorial products if they exhibit at least one of these characteristics:

1. Offensive, violent, pornographic, pedopornographic, softcore porn content;

2. Content that incites or could incite hatred, acts of racism, xenophobia, persecution, ethnocentrism, violence, offenses to the person, to the religion of any individual, immoral, extremist, terrorist;

3. Content containing instructions for the construction, purchase, procurement of weapons, explosives, devices and/or for the implementation of military, warlike, terrorist actions, attacks, attacks on governments, cyber, biological, nuclear attacks, and of any risky and compromising nature;

4. Misleading content, fake news, content that suggests a serious and explicit attempt to confer scientific authority on phenomena and circumstances not scientifically recognized, e.g. attempts to affirm conspiracy theories, etc. - subject to the right to express one's opinion;

5. Any content deemed, at Tingalo's sole discretion, not in line with the cultural needs of users, market needs, or deemed at Tingalo's unquestionable discretion as irrelevant to the ecosystem;

6. Content that violates these Terms;

Tingalo reserves the right to communicate and report to the competent authorities any attempt to publish and distribute the above-described content if deemed appropriate and at its sole discretion.

Out of Stock

The Producer can, at any time, confer a given editorial product the status of "out of stock" by appropriately changing the status of their stock. Physical products possibly still in circulation in the ecosystem at the time of the status change will still be available until stocks are exhausted by warehouses affiliated with Tingalo, always and in any case, as long as deemed appropriate by Tingalo.

Used Products

It is not possible to publish, offer, purchase, and resell used products on the Tingalo Platform. All products distributed through Tingalo must be new.

User Conduct

Retailers and Producers must use non-offensive, non-denigrating, and socially appropriate language towards each other. Users must operate by facilitating each other and always operate to preserve the mission proposed by the Platform. Retailers and Producers undertake to guarantee and maintain a commercially democratic, inclusive community and network that brings economic benefits to all participants in the ecosystem, beyond the size and economic-financial dimension of the User's business. At the same time, each User respects and does not compromise through their actions any entrepreneurial attempt or initiative, expansion, improvement of the business activity of any third User. Any attempt at trust, conspiracy, union, deceit, steering, manipulation that may even minimally or potentially prejudice our mission or the serene, correct, and democratic conduct of the business of any User belonging to the ecosystem will result in permanent exclusion from the Service. Tingalo reserves the right to take legal action against the User if deemed appropriate.

Payments

Unless these terms are updated, the Tingalo Book Republic Program is designed exclusively to facilitate commercial transactions between actors in the publishing sector, limited to the activities of operators fiscally established in the European Economic Area, for commercial operations carried out within the European Economic Area only. An exception is made for non-European partners with whom Tingalo concludes agreements. To this end, Tingalo does not make any direct sales. Tingalo does not hold or manage money funds. Funds due from the Buyer (the one who buys on the Tingalo marketplace) to the Seller (the one who sells on the Tingalo marketplace) are never held by Tingalo. Instead, these funds are deposited in the bank account regulated by Stripe for the benefit of the Seller before being paid to the Seller by Stripe. Regulated payment services are provided by Stripe.

Stripe Terms

By registering your Account on Tingalo, we will consequently create a "Connected Account" with the financial intermediary STRIPE to which the Platform entrusts itself. By registering your Account on Tingalo, you accept the terms of Service of Stripe for your Connected Account related to the Stripe Connect Service, or you accept the Connected Account Agreement with Stripe. You can view the terms of the Connected Account Agreement with Stripe on this page: https://stripe.com/en-it/connect-Account/legal. By registering your Account on Tingalo, you will therefore accept the terms provided by the Privacy Policy provided by the financial intermediary Stripe, available at the website: https://stripe.com/en-it/privacy

Money Transfer: Timings and Conditions

Normally, payments to your account are taken over daily by Stripe. Depending on your bank and circumstances, it takes from 7 to 10 business days to receive payment from Stripe to the account you specified. In the case of the need for financial compensation for refund practices, with the explicit agreement between you and Tingalo, it is possible that your payment will be taken over with different, likely longer, times but never beyond the terms provided by law, from the date of receipt of money from your customers.

User Activation and Verification (Onboarding)

In compliance with legal obligations dictated by the broader European anti-money laundering directives (enclosed under the acronym AMLD, Anti Money Laundering Directives), the latest update of which was implemented in Italy with legislative decree 90/2017, Tingalo accepts under its responsibility all the necessary documentation for the proper verification of the User (Know Your Customer - KYC) which remains shared with the Platform's financial intermediary (Stripe), according to the criteria established by the privacy policies of this contract and Stripe's privacy policies, as well as the Service terms provided by this contract, and the Service terms provided by Stripe. Users must necessarily provide a valid identity document, the chamber of commerce registration of their business, or a bank statement and/or any other appropriate document upon Tingalo's request in the case of private Users, as provided by the onboarding procedure. Tingalo reserves the right to request additional documentation for the adequate verification of the client, as Tingalo also reserves the right not to proceed with the activation of the Account if deemed appropriate and at its discretion, without having to provide any justification.

Taxes and Communications to the Revenue Agency

Tingalo will evaluate on a case-by-case basis the tax situation of Users, and may request documentation to confirm the tax situation of Users for the sole purpose of ensuring the correct fulfillment of tax roles, with the understanding that in principle the User is solely responsible for paying their due taxes, always. Tingalo communicates the sales data of users to the Revenue Agency and/or the appropriate territorial tax Agencies, within the appropriate deadlines, as required by law.

The Platform's Service costs are determined by Tingalo and appropriately published in the dedicated section of the website: https://tingalo.com/bookrepublic.php Service costs may undergo changes.

Responsibility

THE PLATFORM IS PROVIDED "AS IS." TINGALO SHALL NOT UNDER ANY CIRCUMSTANCES BE LIABLE FOR ANY LOSS OF DATA OR PROFITS, COVER COSTS, OR ANY OTHER SPECIAL, INCIDENTAL, CONSEQUENTIAL, INDIRECT, OR RELIANCE DAMAGE ARISING OUT OF OR RELATING TO THIS AGREEMENT. THE USER AGREES THAT TINGALO CANNOT GUARANTEE THAT OTHER USERS WILL RESPECT ALL RULES ON THE USE OF CONTENT THAT TINGALO MAY MAKE APPLICABLE IN RELATION TO THE USE OF EDITORIAL PRODUCTS AND CONTENT, AND THAT TINGALO CANNOT BE HELD RESPONSIBLE IN THE EVENT OF MALFUNCTIONING OF ANY SECURITY SYSTEM OR PROCEDURE OR NON-COMPLIANCE WITH THE RULES ON THE USE OF CONTENT BY USERS. THE TINGALO PLATFORM IS BASED ON COMPLEX SYSTEMS AND PROCESSES. WE DO EVERYTHING POSSIBLE TO KEEP OUR SYSTEMS AND PROCESSES EFFICIENT AND ERROR-FREE; HOWEVER, WE CANNOT GUARANTEE THEIR PERFECT EFFICIENCY AND CORRECTNESS AND DISCLAIM ANY RESPONSIBILITY FOR SYSTEM FAILURES OR PROCESS INTERRUPTIONS, INACCURACIES, TECHNICAL ERRORS, OR DEFECTS OF OUR INFORMATION TECHNOLOGY INFRASTRUCTURE, INCLUDING DATABASES AND SERVERS AND THIRD-PARTY SERVICES ON WHICH TINGALO RELIES. IN THE EVENT THE PLATFORM SHOULD BE A VICTIM OF MALICIOUS CYBER ATTACK, HACKING, FRAUD, SCAM ATTEMPT, MANIPULATION, ETC., RESULTING IN DAMAGES AND/OR LOSS OF INFORMATION AND/OR ECONOMIC LOSS AND/OR LOSS OF ECONOMIC OR COMMERCIAL OPPORTUNITY FOR USERS USING THE PLATFORM, TINGALO IS EXEMPT FROM ANY LIABILITY, AND THE USER CANNOT CLAIM ANY TYPE OF COMPENSATION FROM TINGALO. THE SAME CONDITION APPLIES IF ANY DAMAGE TO THE USER DERIVES FROM AN INDIRECT MALICIOUS ACTION IN RESPECT OF TINGALO, THAT IS, THROUGH THE COMPROMISE AND/OR MALEVOLENT TAMPERING OF THIRD-PARTY SERVICES ON WHICH TINGALO RELIES AND WITH WHICH THE TINGALO PLATFORM IS INTEGRATED (E.G. STRIPE.COM). IN THESE CASES, TINGALO INTERVENES IMMEDIATELY - TO THE EXTENT OF ITS OPERATIONAL CAPABILITIES - IMPLEMENTING CONTAINMENT AND REPAIR MEASURES OF ITS PLATFORM AND USERS, INCLUDING SERVICE SUSPENSION, ACCOUNT BLOCKING, ETC.

Force Majeure

Tingalo cannot be held responsible for any failure or delay in fulfilling its obligations under this contract caused by any event or circumstance beyond its control, including but not limited to: denial-of-service attacks, insurrections, fires, floods, storms, explosions, unforeseeable events, wars, terrorist attacks, epidemics, pandemics, etc.

Fraud, Piracy, and Scams

Tingalo constantly monitors the progress of transactions and the flow of goods within its ecosystem. In the event of the detection of possible or even potential attempts of fraud against Tingalo or third parties, use of pirated copies, unauthorized copies, attempts at fraud, deception, obstruction, camouflage of any kind, Tingalo will immediately proceed to block the provision of Tingalo services and contact the competent Authorities. The blocked User can never claim compensation from Tingalo for the block.

Metrics and Tools

Tingalo provides metrics and tools designed to facilitate the understanding of the market, product, and commercial activity of individual Users within the ecosystem. Qualitative and quantitative information, even when presented in aggregated form, is confidential and can never be disclosed without the explicit consent of Tingalo. Tingalo undertakes to ensure the quality of such metrics; however, we cannot guarantee the consistency and accuracy of such metrics in any way. Users understand and willingly accept the remote possibility that these metrics do not reflect the operational reality of the ecosystem in some circumstances, indemnifying Tingalo from any damage and/or misunderstanding of any kind arising from an erroneous interpretation and/or quantitative and/or qualitative value generated by the system and reported through the proposed metrics.

Tingalo Support

All Users can request free assistance from Tingalo using the appropriate section. Users are contacted where appropriate within 24 hours, or as soon as possible by Tingalo Support. Tingalo reserves the right not to respond to requests deemed, at its discretion, inadequate and/or inappropriate and/or not well-described and contextualized.

Service Availability

Except for exceptions (e.g., routine maintenance), the Service is generally available from 1:20 AM to 12:45 AM, seven days a week. The User indemnifies Tingalo from any damage generated by the unavailability of the Service, waiving any request for compensation.

Service Unavailability

The Tingalo Service may be additionally unavailable beyond the hours indicated in the previous point, for periods of time not well defined due to routine and/or extraordinary maintenance or critical phases such as "service downtime" generated by the unavailability of Tingalo service servers or temporary malfunctions of the Tingalo service itself. The User understands this possibility and always indemnifies Tingalo from any responsibility related to the malfunction caused directly and/or indirectly.

Language

The Tingalo Platform employs a hybrid language model in which navigation tools (buttons, tabs, menus, some alerts, etc.) are predominantly in Italian. English terminology may also be used. By accepting the Terms of Service, you confirm that you can understand the descriptions and communications provided by and through the Platform, indemnifying Tingalo from any misunderstanding resulting from an incorrect interpretation of the content provided.

Termination

This contract between you and Tingalo under these Terms remains in effect until its termination by you or Tingalo in accordance with these Terms. You can terminate this agreement at any time by sending us an email or by deleting your account. Tingalo may terminate this contract for any reason with a 30-day notice via email or through the other contact information you provided for your account. Tingalo may also terminate this agreement immediately and without notice and suspend access to the Tingalo Platform if (i) you substantially violate these Terms, (ii) you violate applicable laws, or (iii) such action is necessary to protect the personal integrity or property of Tingalo, its mission, its Users, or third parties (e.g., in the case of fraudulent behavior by a User) or (iv) your account has been inactive for more than 2 years. If (i) you violate these Terms, our Privacy Policy, our standards (ii) you violate applicable laws, regulations, or rights of third parties, (iii) you have repeatedly received poor reviews and/or feedback, or Tingalo otherwise becomes aware of or receives complaints about your performance or conduct, (iv) you have repeatedly failed to fulfill orders according to standards, (v) such action is necessary to protect the personal safety or property of Tingalo, its Users, or third parties, Tingalo may: Suspend or limit your access or use of the Tingalo Platform and/or your Account. Suspend or remove Offers, Products, or other Content. Cancel pending or confirmed Orders, Products, and Offers. Suspend or revoke any special status associated with your account. In the case of non-substantial violations or where otherwise appropriate, Tingalo will notify you of any measures it intends to take and will give you the opportunity to resolve the issue unless such notification (i) prevents or hinders the detection or prevention of fraud or other illicit activities, (ii) harms the legitimate interests of other Users or third parties, or (iii) violates applicable laws. Following the termination of this contract, you will have no right to restore your Account or its Content. If your access or use of the Tingalo Platform has been limited, or if your Tingalo Account has been suspended or this agreement terminated at our initiative, you cannot register a new Tingalo account or access and use the Tingalo Platform through another User's Tingalo account or under another name/email. Within the limits of this agreement, in case of termination, Tingalo shall not owe any refund and/or compensation to the User, ever.

Assignment

You may not assign, transfer, or delegate this agreement or your rights and obligations hereunder without the prior written consent of Tingalo. Tingalo reserves the right, at its sole discretion, without limitation, to assign, transfer, or delegate this agreement and any of its rights and obligations hereunder upon 30 days' notice. Your right to terminate this agreement at any time remains unaffected.

Third-Party Services

The Tingalo Platform may contain links to third-party websites, applications, services, or resources ("Third-Party Services") that are subject to different terms and privacy practices. Tingalo is not responsible for any aspect of such Third-Party Services, and links to such Third-Party Services do not constitute an endorsement.

Beta Testing

Users accept and indemnify Tingalo from any liability for exceptional issues, exceptional damages, or exceptional misunderstandings that may arise from the use of the Service during the beta testing phase.

Affiliate Program

Tingalo's Affiliate Marketing refers to the Book Republic sub-program that allows participating Users to create personalized links (URLs) that can be shared for promotional purposes (affiliation). The Affiliate Marketing sub-program belonging to the Book Republic program is intended as a means of incentive and promotion for reading by creating a suitable economic ecosystem that supports Readers, Publishers, and all participants in the industry, always. The Tingalo Affiliate Marketing program is currently under development, and Users will be notified before the release and publication of the program. Users will be informed about the update of these terms upon the publication of the Affiliate Marketing program through appropriate means and timing.

Applicable Law and Jurisdiction

Any dispute relating to the application and interpretation of this contract shall be under the exclusive jurisdiction of the Court of Cosenza. For everything not provided in this contract, the current rules in force are hereby stated.
